By accessing or using Brandfuel's software-as-a-service platform (the "Service"), you agree to be bound by these Terms of Service and our Privacy Policy. If you do not agree to these Terms, do not use the Service.
2. Eligibility
You must be at least 18 years old to use the Service. By using the Service, you represent and warrant that:
- You are legally capable of entering into a binding contract;
- If acting on behalf of an organization, you have authority to bind that entity to these Terms.
3. Description of Services
Brandfuel provides a SaaS platform designed to help users optimize and manage product content workflows. Features may include tools to create, manage, and publish product content (including AI-assisted content generation), conduct content performance tests, and provide content scoring. Supported integrations and features may evolve over time at Brandfuel's discretion.
4. Your Account
To use the Service, you must create an account and log in securely. You are responsible for:
- Maintaining the confidentiality of your login credentials;
- All activities that occur under your account;
- Notifying us immediately of unauthorized access or breaches.
5. Use of the Service
You agree to use the Service only for lawful purposes. You shall not:
- Reverse engineer, decompile, or disassemble any part of the Service;
- Use the Service to build a competing product;
- Transmit viruses, malware, or any code of a destructive nature;
- Interfere with or circumvent security features.
6. Subscriptions and Billing
Access to certain features may require a paid subscription. By subscribing:
- You authorize us to charge your payment method on a recurring basis;
- Fees are billed in advance and are non-refundable;
- Downgrading your plan may result in reduced features or data loss;
- Pricing terms are subject to change but we will provide at least 60 days' advance notice before any such changes take effect.
7. User Content and Proprietary Information
You retain ownership of all content and data you upload to the Service. Brandfuel:
- Claims no ownership over your proprietary content;
- May use anonymized, aggregated usage data for performance monitoring and improvement;
- Handles personal information in accordance with our Privacy Policy.
You are solely responsible for your content, including its legality, reliability, and appropriateness.
8. Third-Party Services and Tools
The Service may use third-party tools, such as OpenAI (ChatGPT), for AI-powered content generation. By using these features, you acknowledge and agree to their use and the applicable third-party terms and privacy practices. Integrations may include Shopify and other platforms.
9. Intellectual Property
All technology, software, trademarks, branding, and other elements of the Service are owned by Brandfuel or its licensors. You may not reproduce, modify, distribute, or create derivative works of the Service or its components without express permission.
Client-generated content remains the property of the client. Brandfuel does not claim rights to your content beyond what is necessary to operate the Service.
10. Privacy Policy
Your privacy is important to us. Our Privacy Policy explains how we collect, use, and protect your data, including any personal identifiable information (PII). By using the Service, you consent to these practices.
11. Termination
We may suspend or terminate your access to the Service without prior notice if you:
- Violate these Terms;
- Fail to pay fees when due;
- Engage in activity that harms the Service or other users.
You may cancel your subscription at any time via your account settings. Cancellations require 30 days written notice.
12. Disclaimers
The Service is provided "as is" and "as available." To the fullest extent permitted by law, Brandfuel disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, and non-infringement. AI-generated content may contain errors or inaccuracies and should be reviewed by the user.
13. Limitation of Liability
To the extent permitted by law:
- Brandfuel shall not be liable for any indirect, incidental, special, consequential, or punitive damages;
- Brandfuel's total liability under these Terms shall not exceed the total amount paid by you to Brandfuel in the 12 months preceding the claim.
14. Changes to These Terms
We may revise these Terms at any time but we will provide at least 60 days' advance notice before any such changes take effect. Material changes will be communicated via email or through the Service. Continued use of the Service after such changes constitutes acceptance of the revised Terms.
15. Governing Law and Jurisdiction
These Terms are governed by the laws of the State of California, without regard to its conflict of law principles. All disputes shall be resolved in the state or federal courts of San Francisco County, California.
